1. Acceptance of Terms

    By accessing or using ServiceBizOS ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Platform. ServiceBizOS reserves the right to update these terms at any time, and your continued use constitutes acceptance of any changes.

    2. Platform Description

    ServiceBizOS is a service business operations platform that connects service business operators ("Operators") with verified subcontractors ("Subcontractors") across Australia. The Platform supports 25+ service categories including cleaning, maintenance, gardening, removalist services, and more. ServiceBizOS is not a service provider — it is infrastructure software that facilitates job fulfilment between Operators and Subcontractors.

    3. User Accounts

    The Platform supports two user types:

    • Operators (Business Owners): Own the customer relationship, set pricing, create jobs, select subcontractors, and manage payments.
    • Subcontractors (Workers): Independent contractors who accept jobs, perform work, and receive payment through the Platform.

    Subcontractors are required to complete verification including: government-issued ID, selfie verification, ABN registration, public liability insurance, and bank details. Operators must also complete account verification before accessing Platform features.

    4. Platform Access Fee

    Operators are charged a Platform Access Fee of A$49 per month, which commences after a 30-day free trial period. The Platform is free to use for Subcontractors — only Operators (business owners hiring subcontractors) pay the monthly subscription fee.

    5. Operations Management Fee

    An Operations Management Fee of 8% is charged to the Operator based on the subcontractor payout amount. This fee is applied at the point of selecting a subcontractor for a job and covers recruitment, vetting, platform maintenance, and operational support. The subcontractor receives their full payout — the fee is paid by the Operator on top of the subcontractor amount.

    Example Calculation:

    • Operator charges client: A$250
    • Subcontractor payout set by operator: A$150
    • Operations Management Fee: 8% × A$150 = A$12 (paid by operator)
    • Total operator cost: A$150 + A$12 = A$162
    • Subcontractor receives: A$150 (full amount)
    • Operator profit: A$250 − A$162 = A$88

    6. Refund Policy for Operations Management Fee

    The Operations Management Fee is charged at the point of selecting a subcontractor for a job and is non-refundable once the job has been completed and payment has been released.

    • If a job is cancelled due to the Operator's fault, no refund of the Operations Management Fee will be provided.
    • If a job is cancelled due to the Subcontractor's fault, the Operator will receive a full refund of the Operations Management Fee. The equivalent fee amount will be deducted from the Subcontractor's next payout.

    7. Payment Terms

    ServiceBizOS facilitates a direct payment model powered by Stripe. The Platform does not hold funds on behalf of users and does not act as an escrow or intermediary of funds.

    Payment Flow

    • Step 1 — Contractor Selection: When the Operator selects a subcontractor for a job, the 8% Operations Management Fee is charged immediately via Stripe.
    • Step 2 — Job Completion: The subcontractor completes the job with full verification (GPS, photos, checklist). The Operator reviews the completed work.
    • Step 3 — Contractor Payment: The Operator pays the subcontractor amount. Stripe transfers funds directly to the subcontractor's connected Stripe account. Payouts take 3–5 business days to arrive in the subcontractor's bank account.
    • We advice Operators to require a 10% deposit from their clients before booking a subcontractor, so that Operators can have funds on hand to cover the small platform fee. This is optional.

    Payment Protection System

    To ensure timely and fair payment, ServiceBizOS enforces the following protections:

    • Payment reminders are sent to Operators when subcontractor payment is due.
    • Overdue tracking monitors all outstanding payments.
    • 7-day overdue restriction: If an Operator delays payment for more than 7 days, their account will be limited and restricted until payment is made.
    • Payment extension requests: Operators may request a payment extension from the subcontractor for any delayed payment. The subcontractor may accept or decline the extension request.
    • Account limitations may be applied for repeated late payments or non-payment.

    8. Cancellation Policy

    Subscription Cancellation

    Operators may cancel their monthly subscription at any time. Upon cancellation, access to the Platform continues until the end of the current billing period. No refunds are provided for partial months.

    Job Cancellation

    If a job is cancelled after a subcontractor has been assigned and has confirmed acceptance, the operator may be liable for a cancellation fee. Cancellation fees are determined based on the timing of cancellation relative to the scheduled job date and whether the subcontractor has already begun preparations or travel.

    9. Trust Score System

    ServiceBizOS maintains a trust and reliability scoring system for both Subcontractors and Operators:

    Subcontractor Trust Score

    Calculated based on:

    • Review ratings from operators
    • Cancellation record (no-shows and late cancellations)
    • Job completion rate based on recent jobs
    • Attendance and punctuality
    • Photo proof completion compliance
    • Re-clean or complaint frequency

    Operator Trust Score

    Operators also receive ratings from subcontractors based on job accuracy, communication, and payment timeliness.

    Trust scores are visible on user profiles and influence job assignment recommendations. Subcontractors with repeated no-shows, complaints, or policy violations may receive strikes, leading to reduced visibility, suspension, or removal from the Platform.

    10. Communication

    All job-related communication between Operators and Subcontractors must occur through the Platform's secure messaging system. Contact details (email and phone numbers) are not shared between parties. Users may choose to share their personal contact details voluntarily through the messaging system at their own discretion.

    11. Liability & Disclaimers

    ServiceBizOS operates as a marketplace platform and is not liable for the quality, timeliness, or outcome of work performed by Subcontractors. Subcontractors are independent contractors and are not employees, agents, or representatives of ServiceBizOS. Operators are responsible for their own client relationships, pricing, and service guarantees. ServiceBizOS provides tools for job verification (GPS, photos, checklists) but does not guarantee the accuracy of such verification.

    12. Governing Law

    These Terms of Service are governed by and construed in accordance with the laws of Australia. Any disputes arising from the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Australia.
